Terms and Conditions

"Agreement" refers to these Terms and Conditions, Privacy Policy, and any materials referenced herein.

"Service" means the SimpleAI platform, including all features, functionalities, and user interfaces.

"User" means any person or entity using the Service.

"Customer Data" means all information that Users submit or collect via the Service.

"SimpleAI", "we", "us", or "our" refers to psquared GmbH.

"Tokens" means the usage credits allocated to your account that enable use of the Service.

SimpleAI provides an AI-powered platform for business process automation, including but not limited to:

• AI agent creation and management
• Automated task execution
• Integration with third-party services
• Chat interface deployment
• Workflow automation

We reserve the right to modify, suspend, or discontinue any part of the Service at any time.

3.1. Subscription Tiers

SimpleAI offers multiple subscription tiers, including a free tier for testing purposes. Each tier provides different token allocations and features.

3.2. Token Allocation

• Free tier users receive a new token allocation each month after initial signup
• Paid subscribers receive tokens immediately upon successful subscription
• The subscription cycle runs from the date of subscription to the same date the following month

3.3. Token Usage and Rollover

• Premium tier subscribers may carry unused tokens to the next billing cycle
• Other tier subscribers' unused tokens expire at the end of each billing cycle
• Upon upgrade, the new subscription starts a new cycle, and previous cycle tokens expire

3.4. Subscription Changes

Early subscription changes or tier upgrades may be accommodated on a case-by-case basis, particularly during our beta phase. Contact our support team to discuss your specific situation.

3.5. Free Tier Support

Users on the free tier may contact support to request additional tokens for testing purposes. While we cannot guarantee additional allocations, we will consider each request individually.

4.1. Registration Requirements

• You must be at least 18 years old to use the Service
• You must provide accurate and complete registration information
• You are responsible for maintaining the confidentiality of your account credentials
• Each account must be associated with a valid business email address

4.2. Account Security

• You are responsible for all activities that occur under your account
• You must immediately notify us of any unauthorized use of your account
• We reserve the right to suspend or terminate accounts that violate our terms
• You may not share your account credentials with third parties

5.1. Pricing and Billing

• All prices are listed in EUR
• Billing occurs monthly based on your subscription date
• Payments are processed securely through Stripe
• Subscription fees are billed in advance

5.2. Payment Processing

• Valid payment method required for paid subscriptions
• Failed payments may result in service interruption
• You authorize recurring charges to your payment method
• All fees are non-refundable unless required by law

6.1. Data Processing

We process personal data in accordance with our Privacy Policy and applicable data protection laws, including the GDPR. Details of our data processing activities are described in our Privacy Policy and Data Processing Agreement.

6.2. Customer Data

• You retain all rights to your Customer Data
• You grant us necessary licenses to provide the Service
• We implement appropriate technical and organizational measures to protect your data
• We do not sell or share your Customer Data with third parties except as necessary to provide the Service

6.3. Data Security

We implement industry-standard security measures to protect your data. However, no method of transmission over the Internet is 100% secure, and we cannot guarantee absolute security.

7.1. Third-Party Services

The Service integrates with various third-party services including:

• OpenAI GPT API for AI functionality
• Google services (Gmail, Drive) for integrations
• Supabase for data storage and authentication
• Stripe for payment processing

7.2. Third-Party Terms

Use of these integrated services is subject to their respective terms and conditions. We are not responsible for any third-party services or their content.

8.1. Our Rights

• We retain all rights to the Service and its components
• Our trademarks and brand features are protected
• The Service's design and functionality are proprietary

8.2. License to Use

We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these terms.

8.3. Feedback

You grant us a perpetual, irrevocable license to use any feedback or suggestions you provide about the Service.

To the maximum extent permitted by law:

• The Service is provided "as is" without warranties of any kind
• We are not liable for any indirect, incidental, special, or consequential damages
• Our total liability is limited to the amounts paid by you for the Service in the 12 months preceding the claim
• We do not guarantee uninterrupted or error-free operation of the Service

10.1. Term

This Agreement remains in effect until terminated by either party.

10.2. Termination Rights

• You may terminate your subscription at any time
• We may terminate or suspend service for violation of these terms
• Termination does not relieve payment obligations

10.3. Post-Termination

• Upon termination, you must cease using the Service
• You may export your data within 30 days of termination
• We may delete your data after 30 days of termination

We may modify these terms at any time by:

• Posting updated terms on our website
• Sending notification via email or through the Service
• Requiring acceptance of updated terms upon login

Your continued use of the Service after changes constitutes acceptance of the modified terms.

These terms are governed by Austrian law. Any disputes shall be subject to the exclusive jurisdiction of the courts in Austria. If any provision of these terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
